Terms and Conditions

1. Introduction
These Terms and Conditions govern your use of the services provided by Viresto, an event planning company located at 55 Barrington St, Halifax, NS B3J 1Z3, Halifax, Canada. By engaging our services, you agree to be bound by these terms.

2. Services
Viresto provides event planning and coordination services, including but not limited to:
- Corporate event organization
- Wedding planning
- Private party hosting
- Business conference coordination
- Venue styling and decoration
- Vendor and catering selection
- Event technical support
The specific scope of services for your event will be outlined in a separate service agreement or proposal provided upon consultation.
3. Booking and Agreements
3.1 Service Agreements
All event planning engagements require a signed service agreement that outlines the scope of work, timeline, deliverables, and associated costs. No services will commence until this agreement is executed by both parties.
3.2 Accurate Information
You agree to provide accurate and complete information regarding your event requirements, guest count, venue preferences, and any other details necessary for us to deliver our services effectively.
4. Payment Terms
4.1 Deposits
A deposit may be required to secure your booking. The deposit amount and payment schedule will be specified in your service agreement.
4.2 Payment Schedule
Payment terms, including due dates and accepted payment methods, will be outlined in your service agreement. Late payments may result in service delays or additional fees as specified in your agreement.
4.3 Third-Party Costs
Costs for third-party vendors (venues, caterers, entertainment, rentals, etc.) are separate from Viresto's service fees unless otherwise specified. You are responsible for payments to third-party vendors as outlined in your agreement.
5. Cancellation and Refunds
5.1 Client Cancellation
Cancellation policies, including any applicable refund schedules, will be detailed in your service agreement. Generally, deposits may be non-refundable, and cancellation fees may apply depending on the timing of cancellation relative to your event date.
5.2 Cancellation by Viresto
In the unlikely event that Viresto must cancel services, we will provide as much notice as possible and refund any payments made for services not rendered.
5.3 Force Majeure
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, government actions, pandemics, or other events that make performance impossible or impractical.
6. Client Responsibilities
You agree to:
- Respond to communications in a timely manner to avoid delays
- Provide necessary approvals and decisions within agreed timeframes
- Ensure all information provided is accurate and complete
- Comply with venue rules and regulations
- Treat Viresto staff and third-party vendors with respect
7. Limitation of Liability
7.1 Service Limitations
Viresto acts as a coordinator and planner. While we carefully select and recommend vendors, we are not liable for the performance, quality, or actions of third-party vendors unless explicitly stated in your service agreement.
7.2 Liability Cap
To the maximum extent permitted by law, Viresto's total liability for any claims arising from our services shall not exceed the total fees paid by you for those services.
7.3 Indirect Damages
Viresto shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our services.
8. Intellectual Property
All planning documents, designs, concepts, and materials created by Viresto remain our intellectual property unless otherwise agreed in writing. You may not reproduce, distribute, or use these materials for purposes other than your specific event without our written consent.
9. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This includes event details, business information, and personal data.
10. Photography and Testimonials
Viresto may request permission to photograph events for portfolio and marketing purposes. Such use will only occur with your prior written consent. Any testimonials or reviews you provide may be used for marketing with your permission.
11. Dispute Resolution
In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If a resolution cannot be reached, disputes will be handled in accordance with the laws of Canada and the province of Nova Scotia.
12. Modifications to Terms
Viresto reserves the right to modify these Terms and Conditions at any time. Changes will be posted on our website and will apply to services booked after the modification date. Existing service agreements will be governed by the terms in effect at the time of signing.
13. Severability
If any provision of these Terms and Conditions is found to be unenforceable, the remaining provisions shall continue in full force and effect.
14. Entire Agreement
These Terms and Conditions, together with your signed service agreement, constitute the entire agreement between you and Viresto regarding the services provided.
